Terms of Use

3.1 Registration. To use certain features, you must create an account and provide accurate, current, and complete information. You agree to keep this information up to date.

3.2 Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access or security breach.

3.3 Identity Verification. We may require identity verification or additional documentation for certain services, corporate accounts, or high-volume usage.

4.1 Making a Booking. Bookings made through the Platform are subject to availability, the specific Provider terms, and these Terms. Bookings are processed upon confirmation.

4.2 Check-in / Check-out. To use a booked space or EV charger you may be required to check in or check out via our app, QR code, license plate recognition, or other means. Failure to check in may result in loss of reservation or additional charges.

4.3 Overstay/Extended Use. If you extend your stay in a parking space beyond your booked time, you acknowledge that additional charges, penalties, or other enforcement mechanisms may apply, in accordance with your Booking terms and any Provider policy.

4.4 Cancellations & Modifications. Cancellation and modification rules vary by Provider and Booking type. Any cancellation or refund policy displayed at the time of Booking applies.

5.1 Fees. You agree to pay all Fees for Bookings and other paid services. Fees are displayed at the time of Booking and may include platform fees, Provider fees, taxes, and transaction fees.

5.2 Payment Methods. We accept payment via the methods made available on the Platform. By entering your payment details, you authorize us or our payment processors to charge the necessary amount for your Bookings and other applicable fees.

5.3 Refunds. Refunds, if any, will be processed in accordance with the applicable Provider policy and our refund procedures. We reserve the right to refuse refund requests where a User had utilized the service or violated these Terms.

5.4 Disputes. If you dispute a charge, you must notify us promptly through the Platform or our customer support channels, providing such documentation or information as we may reasonably require. We will investigate in good faith and seek to resolve the matter.

6.1 Parking Services. By using a parking facility booked or accessed through the Platform you also agree to the Parking Terms & Conditions set out in Annex A, which appear at the point of booking and on-site at Providers’ locations. Annex A includes, without limitation, operating hours, accepted payment methods, grace periods and rates, User responsibilities while on-site, and enforcement consequences for non-compliance.

6.2 Safety & Compliance. Users must follow all safety instructions and Provider rules when using parking and EV charging services. Only compatible equipment and connectors may be used with the EV charging service.

6.2 Responsibility for Damage. Users are responsible for any damage they cause to EV chargers, cables, or parking infrastructure due to misuse, negligence, or failure to follow instructions.

6.3 Charging Etiquette. Users must move their vehicle promptly after charging completes. Extended occupancy of charging bays may result in additional charges or penalties.

7.1 Provider Relationship. ParkNCharge acts as a marketplace technology platform that connects Users with Providers. Providers remain responsible for their premises, the availability of spaces, and compliance with local laws. Unless explicitly stated, we do not own, or control the parking facilities or EV charging assets.

7.2 Provider Terms. By booking, Users agree to Provider-specific terms and rules posted on the Platform or at the parking location.

7.3 Provider Responsibility. Providers are responsible for their premises, the availability, security, and maintenance of their parking spaces or charging infrastructure, and compliance with all local laws and regulations.

9.1 Ownership. All intellectual property rights in the Platform (software, designs, text, graphics, logos, content) remain our property or that of our licensors.

9.2 License. We grant you a limited, non-exclusive, revocable, non-sublicensable license to access and use the Platform, solely for your personal or business use, in compliance with these Terms.

9.3 Restrictions. You must not: (a) copy, reproduce, modify, distribute, or create derivative works of any part of the Platform; (b) reverse-engineer, decompile, or disassemble any software component; (c) remove, obscure, or alter any proprietary notices.

10.1 Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, retain, and share personal information. By using the Platform, you consent to our processing of personal data as described in the Privacy Policy.

10.2 Where we collect and process personal data, we will do so in compliance with the Nigerian Data Protection Act (NDPA) and other applicable data protection laws.

11.1 “AS IS” Basis. The Platform and Services are provided on an “as is” and “as available” basis, without any warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11.2 No Guarantee. We do not guarantee that: (a) your use of the Platform will be uninterrupted, timely, secure, or error-free; (b) any defects or errors will be corrected; (c) the Platform or any content is free from viruses or other harmful components.

11.3 Limitation of Liability. To the maximum extent permitted under Nigerian law, ParkNCharge (and its affiliates, officers, directors, employees, and agents) shall not be liable for:

• indirect, incidental, special, consequential or punitive damages;
• loss of profits, revenue, data or goodwill;
• any claim arising from User misconduct or Provider acts/omissions;
• any loss resulting from interruptions, errors, or inaccuracies in the Platform.

11.4 Cap. Where liability cannot be excluded under applicable law, ParkNCharge’s aggregate liability for direct damages shall be limited to the total Fees paid by the User to ParkNCharge for the twelve (12) months preceding the claim.

13.1 For Cause. We may suspend or terminate your account at any time for violations of these Terms, illegal conduct, or when necessary to protect Users or Providers.

13.2 Effect of Termination. Upon termination, your right to access the Platform ends. Outstanding Fees and provisions intended to survive (e.g., Indemnity, Liability, Intellectual Property) remain in force.

15.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

15.2 Dispute Resolution. Any dispute, controversy, or claim arising out of or relating to these Terms (including breach, termination, or validity) shall, to the extent possible, be resolved amicably by negotiation. If the parties fail to reach an amicable settlement within thirty (30) days, either party may refer the dispute to arbitration in accordance with the Arbitration and Mediation Act, or, at our election, the dispute may be submitted to the courts of Nigeria, in a court of competent jurisdiction.

15.3 Nothing in this Agreement shall prevent or delay a Party from seeking urgent injunctive or interlocutory relief in a court having jurisdiction in Nigeria.

16.1 Third‑Party Services. We may provide links to third-party services. We are not responsible for third-party content or conduct.

16.2 Notices. Notices to you may be sent via email, in‑app notification, or posted on the Platform.

16.3 Assignment. ParkNCharge may assign its rights and obligations. Users may not assign without our prior written consent.

16.4 Severability. If any provision is found unenforceable, the remaining provisions remain in force.

16.5 Waiver. No failure or delay by us in exercising any right or remedy under these Terms will constitute a waiver of that right or remedy.
